Treasury Share Regime will come into operation on 17 April 2025
The Companies Ordinance (Cap. 622) has been amended to introduce a new treasury share regime for listed companies, enabling listed companies to hold shares bought back and dispose of them as treasury shares. The relevant legislative amendments in the Companies (Amendment) Ordinance 2025 will come into operation on 17 April 2025.

Promoting Paperless Corporate Communication for Hong Kong Companies
To further promote paperless corporate communication by means of website for both listed and unlisted Hong Kong companies, the Companies Ordinance (Cap. 622) (“CO”) has been amended by introducing an implied consent mechanism, streamlining notification requirements and at the same time introducing appropriate safeguard measures to protect members’ or debenture holders’ interests.
The Companies (Amendment) Ordinance 2025, which seeks to modernise the CO and the Companies (Model Articles) Notice (Cap. 622H) to effect the above arrangements, has been enacted and will come into operation on 17 April 2025.
To facilitate companies’ adoption of the implied consent mechanism in communication by means of website, the Companies Registry has issued the “Guidance Note – Good Practice on Communication by Company by Means of Website Under Implied Consent Mechanism”. In light of the introduction of the implied consent mechanism for communication by means of website, the Companies Registry has also updated the “Guide on Communications to and by Companies” which was issued in January 2014 to provide an overview of various provisions in Part 18 of the CO governing communications to and by companies.
